1. No Purchase Necessary. To Enter:
Visit www.xlprep.com/ anytime between September 20, 2005 and September 19, 2006 (Promotion Period), and complete and submit either a free trial or purchase to XLPrep.com's test prep software. Entries submitted in accordance with these Official Rules shall be collectively referred to hereinafter as the "Eligible Entries." Limit one entry per person during the Promotion Period. All online entries must be received by 11:59 PM PST September 19, 2006.

2. Drawings:
Winner will be selected by XLPrep on or about October 1, 2006 from among all of the Eligible Entries received. The odds of winning will be determined by the total numbe of Eligible Entries received by XLPrep.com.

3. Prizing:
Grand Prize - (1) Grand Prize Winner shall receive: a Apple mini-IPOD Nano. The specifics of all elements of the Grand Prize shall be solely determined by XLPREP.COM. The tentative dates for fulfillment of the Grand Prize will be in October 2006 and are subject to change at XLPREP.COM's sole discretion. The total approximate retail value (the "ARV") of the Grand Prize is $150. No substitution, transfer of the prize (or any portion thereof) or cash alternative permitted, except by XLPREP.COM, due to prize unavailability at time of award or circumstances beyond XLPREP.COM's control, in which case a prize of equal or greater value will be awarded. The ARV of the Grand Prize is subject to change based on current market conditions at time of the prize fulfillment. Arrangements for the fulfillment of the Grand Prize will be made by XLPREP.COM.

4. Eligibility:
Sweepstakes is open to legal residents of the United States who are at least 16 years of age at time of entry. If winner is under the age of 18, the Grand Prize will be awarded to his/her parent or legal guardian and such parent or legal guardian shall be responsible for signing all required legal documents provided by XLPREP.COM and sponsors with respect to the Grand Prize, as a condition of receiving the same. VOID WHEREVER PROHIBITED OR RESTRICTED BY LAW. Employees of XLPREP.COM, affiliated companies, sponsors, subsidiaries, advertising agencies (and the immediate families of each) or any person who has won an XLPREP.COM National Contest or Sweepstakes in the 2004 or 2005 calendar year are not eligible to win a prize. By participating in this Sweepstakes, entrants agree to be bound by these Official Rules, by the decisions of XLPREP.COM, which are final in all matters relating to this Sweepstakes, and furthermore acknowledge compliance with these Official Rules.

5. Limitation of Liability:
Sponsor is not responsible for typographical errors in any sweepstakes-related printed materials or for any individual's inability to enter this sweepstakes, including but not limited to unavailable network, server, or other connections; failed software or hardware transmissions; other errors of any kind, whether human, mechanical, or electronic, including lost, late, incomplete, damaged, or misdirected entries; or for any damage to any computer related to or resulting from participation. Entries generated by script, macro, or other automated entry devices are not valid and will be disqualified. Sponsor reserves the right in its sole discretion to cancel or suspend the sweepstakes should any of the foregoing occurrences corrupt or impair the administration, security, fairness, or proper play of the sweepstakes. Entrants agree that the Sponsor, its related companies, and respective employees or officers shall not be liable for injury, losses, damages, or costs of any kind resulting from participation in this Sweepstakes or acceptance of or use or misuse of a prize or parts thereof. By entering, participants agree to be bound by these official rules. 6. Potential winners will be notified by email and/or US mail (certified mail if resident of Puerto Rico), and will be required to sign an affidavit of eligibility and liability/publicity release. Potential winner must respond to the email notification within 8 days; the completed affidavit of eligibility/release must be returned and received within 14 days of the date mailed to the potential winner (30 days from receipt of notification, if potential winner is a resident of Puerto Rico), or an alternate winner will be randomly selected from the remaining pool of participants received for the original drawing.

7. Any potential winners
who are residents of Canada will be required to correctly answer a skill-testing question to be eligible for prize award, in accordance with Canadian law.
